1. Introduction

Welcome to OCTOSPACE, a flexible workspace platform owned and managed by NEXUS Holdings Ltd, a company duly registered under the laws of the United Republic of Tanzania.

 

These Terms and Conditions (“Terms”) govern your use of the OCTOSPACE platform, including access to our website, mobile application (if applicable), and services such as workspace bookings, virtual office solutions, and any related offerings provided through the platform.

 

By registering, booking, or using any part of the OCTOSPACE platform, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, you should refrain from using the platform or any associated services.

2. Definitions

For the purposes of these Terms and Conditions, the following definitions shall apply:

 

Workspace:

Refers to any physical or virtual office space, including private offices, dedicated desks, hot desks, meeting rooms, and virtual office addresses, that is listed, offered, or managed through the OCTOSPACE platform.

 

Client / User:

An individual, business, or organization that accesses, registers for, books, or otherwise uses any service offered through the OCTOSPACE platform.

 

Personal Assistant:

A representative appointed by OCTOSPACE to assist Clients throughout the workspace matching and booking process. The Personal Assistant provides support, guidance, and updates but does not act as a legal or contractual agent of the Client.

 

Property Partner:

An individual, entity, or organization that owns or manages a property listed on the OCTOSPACE platform and enters into a collaboration or revenue-sharing agreement with OCTOSPACE to provide workspace solutions.

 

Booking:

The confirmed reservation of a Workspace by a Client through the OCTOSPACE platform, including all related terms such as duration, location, fees, and usage rights.

 

Add-on Services:

Any optional services requested by the Client in addition to standard workspace use. This may include, but is not limited to: printing and scanning, IT support, branding, business registration assistance, mail handling, and event space rentals.

 

Platform:

Refers to the OCTOSPACE digital infrastructure, including the website, mobile application (if applicable), backend system, and all tools and interfaces provided by or on behalf of NEXUS Holdings Ltd for the delivery of workspace services.

3. Eligibility & Registration

3.1 Who Can Use OCTOSPACE

The OCTOSPACE platform is intended for use by individuals and organizations that meet the following eligibility criteria:

- Individuals must be at least 18 years of age, legally competent, and capable of entering into binding
contracts under Tanzanian law.

-Businesses or organizations must be duly registered in Tanzania or in their respective jurisdiction and must have a designated representative authorized to act on their behalf.

 

3.2 Account Creation Requirements

To access certain services, including workspace bookings and virtual office plans, users may be required to create an account on the OCTOSPACE platform. During registration, users must:

- Provide full legal names (individual or organization)

- Create secure login credentials (where applicable)

- Agree to these Terms and any related policies (e.g., Privacy Policy)

 

OCTOSPACE reserves the right to approve, suspend, or deny registration at its sole discretion.

 

3.3 Valid Contact Information

All users must provide accurate and up-to-date contact details, including:

- Full name

- Email address

- Mobile phone number

 

These details are necessary for communication, booking confirmation, billing, and support. Users are responsible for keeping their contact information current. OCTOSPACE shall not be held liable for any communication failure due to incorrect or outdated user information.

4. Booking and Use of Workspace

4.1 Booking Process

To reserve a workspace through OCTOSPACE, Clients must complete and submit a workspace request form via the platform. Based on the submitted information, the Client will be assigned a Personal Assistant who will assist in identifying suitable workspace options.

 

Once the Client selects a workspace, the Personal Assistant will provide a booking summary that includes pricing, terms, and availability. A booking is considered confirmed only after full payment is received and a confirmation notice is issued by OCTOSPACE.

 

4.2 Booking Duration Options

Clients may choose from the following workspace duration types, subject to availability:

- Daily bookings (up to 24 hours)

- Weekly bookings (up to 7 consecutive days)

- Monthly bookings (30-day periods or longer)

 

Clients requiring long-term arrangements may contact their Personal Assistant for custom packages.

 

4.3 Advance Bookings for Spaces Under Development

Clients may reserve workspaces that are still under construction or renovation (”under development”) if listed as available for advance booking. In such cases:

- OCTOSPACE will provide a projected completion timeline.

- The assigned Personal Assistant will deliver periodic updates.

- The booking will only be active upon space readiness.

- Clients may request cancellation or transfer if delays exceed 14 days beyond the estimated handover date.

 

4.4 Cancellation and Modification Policy

Cancellation or modification of a booking must be made through the Client’s Personal Assistant and confirmed in writing. The following rules apply:

- Daily bookings: Minimum 24-hour notice required

- Weekly bookings: Minimum 72-hour notice required

- Monthly bookings: Minimum 7-day notice required

 

Late cancellations may result in partial or no refunds, depending on the workspace’s policy. Modification requests (e.g., date changes or space upgrades) are subject to availability and approval.

 

4.5 Workspace Access Rights and Hours

Access to the reserved workspace is granted only during the agreed booking period. Clients may be granted:

- Standard Access Hours: 8:00 AM – 6:00 PM (unless otherwise stated)

- Extended/24/7 Access: Available at select locations upon request

 

Access instructions will be provided upon confirmation. Unauthorized use beyond permitted hours may result in additional charges or termination of access.

 

4.6 Use Limitations

Clients agree to use the workspace only for lawful business, creative, or professional activities. The following are strictly prohibited:

- Subletting or sharing the space with third parties without prior written approval

- Overnight stays, unless explicitly authorized in writing

- Use for residential, storage, or retail purposes

- Disruptive behavior that interferes with other users or building operations

 

Failure to comply may result in immediate cancellation of the booking, eviction from the premises, and potential legal action.

5. Payments & Billing

5.1 Pricing and Quotation Procedure

Pricing for each workspace or service is based on factors including location, space type, booking duration, and any additional services requested. Upon submission of a workspace request, OCTOSPACE will provide the Client with a detailed quotation outlining all applicable fees. Final prices are subject to confirmation and may vary depending on real-time availability and specific Client needs.

 

All quotations are valid for a limited time as stated within the offer. Acceptance beyond the validity period may require a revised quotation.

 

5.2 Accepted Payment Methods

OCTOSPACE accepts multiple secure payment options, including:

- Tanzanian Shillings (TZS)

- United States Dollars (USD) (subject to prevailing exchange rate)

- Mobile Money Services (M-Pesa, Tigo Pesa, Airtel Money)

- Credit and Debit Cards (Visa, MasterCard, etc.)

- Bank Transfer (local or international)

 

All payments must be made in full prior to accessing the reserved workspace, unless otherwise agreed in writing.

 

5.3 Billing Frequency (Recurring Plans)

For recurring or long-term bookings (e.g., weekly or monthly):

- Clients will be billed at the start of each billing cycle

- Invoices are issued via email and/or through the OCTOSPACE dashboard

- Payment is due within 3 business days of invoice date

- Failure to settle invoices may result in restricted access or service suspension

 

5.4 Taxes and Fees

All prices quoted are inclusive of applicable taxes in accordance with Tanzanian tax laws, unless explicitly stated otherwise. OCTOSPACE may charge additional service or processing fees, which will be clearly outlined in the quotation or invoice.

 

5.5 Late Payment Policy

Late payments may be subject to the following consequences:

- TZS 20,000 late fee or 2% of the outstanding balance, whichever is higher

- Suspension or termination of workspace access

- Withholding of booking confirmations for future services

- In persistent cases, legal collection measures may be taken

Clients are encouraged to communicate any payment delays in advance to avoid penalties.

 

5.6 Refunds and Credit Handling

Refunds are subject to the cancellation policy (Section 4.4) and the individual workspace provider’s terms. Refunds will be issued:

- Only if the Client cancels within the eligible time window

- Within 14 business days after approval, via the original payment method

In place of a refund, Clients may be offered credit for future bookings, subject to approval by OCTOSPACE.

 

No refunds will be provided for unused time after the booking period has begun, unless service failure is due to OCTOSPACE or the Property Partner.

6. User Responsibilities & Conduct

To ensure a productive, professional, and respectful environment across all OCTOSPACE locations, all Clients are required to adhere to the following responsibilities and behavioral standards:

 

6.1 Proper Use of Property, Internet, and Shared Areas

Clients must use all workspaces, furniture, equipment, and internet services solely for professional or business purposes. Misuse of property, unauthorized installations, tampering with equipment, or overloading internet services is strictly prohibited.

 

Shared areas (e.g., lounges, kitchens, washrooms) must be used responsibly, and no Client may restrict access to these areas for other authorized users.

 

6.2 Respectful Behavior Toward Staff and Other Users

Clients are expected to maintain courteous, professional conduct at all times. Any form of harassment, discrimination, aggression, or disruptive behavior toward OCTOSPACE staff, other users, or visitors will not be tolerated and may result in immediate termination of services.

 

6.3 Prohibition of Illegal, Offensive, or Harmful Activity

Clients must not engage in any activity that is illegal under Tanzanian law or that could endanger the property, brand, or reputation of OCTOSPACE or its partners. This includes, but is not limited to:

- Distribution or storage of illegal content or substances

- Running unauthorized businesses or unlicensed services

- Promoting violence, hate speech, or offensive materials

- Misuse of the workspace for political or religious propaganda

 

OCTOSPACE reserves the right to report such activity to the relevant authorities.

 

6.4 Damage Liability and Reporting Procedures

Clients are responsible for any intentional or negligent damage caused to the property, furniture, or equipment during their use of the workspace. If damage occurs:

- It must be immediately reported to OCTOSPACE or on-site staff

- OCTOSPACE will assess the damage and issue a repair or replacement cost to the Client

- In shared environments, the responsible party will be identified through investigation if needed

 

Failure to report damage may result in service suspension and additional penalties.

 

6.5 Cleanliness and Security Expectations

Clients are expected to:

- Leave workstations and meeting rooms clean and orderly after use

- Dispose of waste properly using designated bins

- Keep valuables safe and not leave sensitive items unattended

- Ensure doors and windows are properly closed (where applicable)

While OCTOSPACE implements general security measures, Clients remain responsible for the safekeeping of their own equipment, documents, and personal items.

7. Workspace Condition & Availability

OCTOSPACE is committed to providing Clients with workspaces that are professional, functional, and conducive to productivity. The following terms apply to the condition and availability of all workspaces offered through the platform:

 

7.1 Move-In Readiness

At the time of booking, over 95% of OCTOSPACE-listed workspaces are fully furnished and prepared for immediate use. This typically includes:

- Desks and chairs

- Power outlets

- Lighting and air conditioning

- Reliable high-speed internet connectivity

- Basic storage (where applicable)

 

Clients will receive clear details about what is included in their selected space prior to booking confirmation.

 

7.2 Utilities and Services Included

Unless otherwise stated, workspace bookings through OCTOSPACE include:

- Electricity and water usage

- High-speed internet access

- Cleaning of common areas

- Security and access control

 

Additional services such as printing, branding, or private cleaning may be requested at extra cost.

 

7.3 Limitations on Space Availability (Under-Development Spaces)

Some OCTOSPACE locations may be listed as “under development,” meaning they are not yet fully operational at the time of booking. In such cases:

- Estimated completion timelines will be clearly communicated

- Clients may place advance reservations

- Assigned personal assistants will provide regular progress updates

- If development is delayed beyond 14 days of the original timeline, Clients may request a full refund or switch to an available alternative workspace

 

7.4 Service Interruptions Disclaimer

While OCTOSPACE and its Property Partners strive to ensure continuous service delivery, certain interruptions may occur due to:

- Scheduled maintenance

- Power outages or utility failures beyond our control

- Renovation or construction activities

- Emergency repairs or safety inspections

 

OCTOSPACE will make reasonable efforts to notify Clients in advance of planned interruptions and, where possible, offer alternative arrangements. However, temporary disruptions shall not constitute grounds for refund unless they significantly impair the Client’s ability to use the space.

8. Virtual Office Services

OCTOSPACE offers Virtual Office Services to clients who require a professional business address without occupying a physical workspace. These services are subject to the following terms:

 

8.1 Usage of Address for Registration or Mail

Clients who subscribe to Virtual Office Services may use the designated OCTOSPACE address:

- For business registration with regulatory authorities in Tanzania

- As a mailing address for receiving documents, parcels, and official correspondence

 

Clients may not use the address for personal, residential, or any non-commercial purposes. OCTOSPACE reserves the right to request proof of business registration or identity as required by law.

 

8.2 Mail Handling and Pickup

OCTOSPACE will receive and securely hold incoming mail or parcels addressed to Virtual Office clients. Mail services include:

- Notification upon receipt (via email or SMS)

- In-person pickup during office hours (Mon–Fri, 9AM–5PM)

- Optional mail forwarding (subject to additional charges and applicable destinations)

 

Clients are responsible for collecting mail in a timely manner. OCTOSPACE will not be liable for uncollected mail after 30 days.

 

8.3 Restrictions on Legal or Tax Misuse

Clients must not use OCTOSPACE’s virtual address to:

- Engage in fraudulent, deceptive, or illegal business practices

- Avoid lawful taxes, fees, or regulatory obligations

- Misrepresent the nature, size, or physical presence of their business

 

OCTOSPACE reserves the right to report suspected misuse to appropriate authorities and to terminate services without notice.

 

8.4 Service Termination Policies

Virtual Office Services may be terminated:

- By the Client, with a 7-day written notice

- By OCTOSPACE, for non-payment, misuse, or breach of these Terms

- If mail remains unclaimed beyond 30 days

- If the Client provides false registration information

 

Upon termination, use of the OCTOSPACE address must cease immediately. Continued use after termination may result in legal action.

9. Add-On & Custom Services

OCTOSPACE provides a variety of add-on and customizable services designed to enhance the workspace experience. These services are offered based on availability and specific workspace type.

 

9.1 Access to Branding, Business Support, IT, and Event Spaces

Clients may request access to the following optional services, subject to prior approval and location availability:

- Branding & Signage: Placement of company logos and branding elements within or outside the workspace

- Business Support Services: Includes assistance with company registration, license applications, and documentation support

- IT Services: Setup of custom networks, dedicated internet lines, or technical assistance

- Event & Networking Spaces: Access to presentation rooms, lounges, or open spaces for hosting meetings, product launches, or training events

 

All such services are provided by OCTOSPACE or its approved service partners.

 

9.2 Pricing and Availability Upon Request

Add-on and custom services are not included in standard workspace pricing and are quoted separately. Clients must request a quotation from their assigned Personal Assistant or via OCTOSPACE customer support.

Quotations are valid for a limited time and must be accepted before the service is confirmed. Availability may vary depending on workspace location, service partner availability, and infrastructure readiness.

 

9.3 Service Modifications or Cancellation

Clients may request modifications to previously ordered add-on services. OCTOSPACE will do its best to accommodate such requests, depending on:

- The stage of service execution

- Supplier terms

- Booking duration

 

If a service has already been partially or fully delivered, no refund will be provided unless the modification or cancellation is caused by OCTOSPACE or its partners. Refunds for unused services are considered on a case-by-case basis.

10. Personal Assistant Services

As part of OCTOSPACE’s personalized service experience, each Client is assigned a dedicated Personal Assistant to help manage their workspace journey. These assistants act as facilitators, ensuring smooth communication and tailored support.

 

10.1 Role of the Assistant (Matching, Guidance, Support)

The Personal Assistant is responsible for:

- Reviewing the Client’s submitted workspace request

- Recommending suitable spaces based on availability, budget, and preferences

- Coordinating bookings, documentation, and payment steps

- Providing updates for under-development locations

- Assisting with additional services such as branding or event space coordination

 

The assistant serves as the Client’s main point of contact throughout the workspace arrangement process.

 

10.2 Availability Window and Communication Channels

Personal Assistants are available during regular business hours:

- Monday to Friday: 9:00 AM – 6:00 PM

- Saturday: 9:00 AM – 1:00 PM (limited support)

 

Clients can reach their assigned assistant via:

- Direct phone call or SMS

- WhatsApp

- Email

- Platform-based messaging (if applicable)

 

Outside of business hours, inquiries will be addressed on the next working day.

 

10.3 No Representation or Legal Responsibility

Personal Assistants act solely as support agents of OCTOSPACE. They do not:

- Represent the Client in any legal, financial, or regulatory capacity

- Make binding agreements on behalf of the Client or any third party

- Guarantee outcomes beyond the scope of OCTOSPACE’s control

 

Clients remain solely responsible for decisions made regarding workspace selection, contract commitments, and business conduct.

11. Data Privacy & Communication

OCTOSPACE values the privacy and security of its Clients and is committed to handling all personal data responsibly and in accordance with applicable data protection laws in Tanzania.

 

11.1 Collection and Use of Client Data

By using the OCTOSPACE platform, Clients agree to the collection, processing, and storage of personal data such as:

- Full name, contact number, email address

- Business or company information

- Booking preferences and transaction records

- Communication and support interactions

 

This data is collected to facilitate service delivery, personalize support, process payments, and improve the overall user experience. OCTOSPACE will only collect information necessary for business operations and will not sell or share data with unaffiliated third parties without consent, unless required by law.

 

11.2 Communication via Email, SMS, and WhatsApp

Clients acknowledge and agree that OCTOSPACE may use the contact details provided during registration or booking to communicate important information, including:

- Booking confirmations and updates

- Service reminders and invoices

- Responses to inquiries

- Notifications regarding workspace access, availability, or delays

Such communications may be delivered via email, SMS, or WhatsApp depending on the user’s indicated preference and urgency of the message.

 

11.3 Consent to Receive Updates, Reminders, and Marketing

By engaging with OCTOSPACE services, Clients consent to receive:

- Promotional updates about new locations, offers, or features

- Event announcements, newsletters, and client success stories

- Automated reminders for billing, renewals, or upcoming bookings

 

Clients may opt out of marketing communications at any time by clicking “Unsubscribe” in email newsletters or by contacting OCTOSPACE directly. Essential operational and service-related messages will continue to be sent regardless of marketing preferences.

 

11.4 Privacy Policy

OCTOSPACE is committed to safeguarding the privacy of all users. We collect, store, and process personal information solely for the purpose of providing our services, improving user experience, ensuring security, and fulfilling legal obligations.

 

Personal data may include your name, contact information, business details, booking history, and communication records. This information is securely stored and is accessible only to authorized personnel within OCTOSPACE and its affiliated service providers, strictly on a need-to-know basis.

 

We implement appropriate administrative, technical, and physical safeguards to protect your data from unauthorized access, loss, or misuse. OCTOSPACE does not sell or rent personal data to third parties. Any sharing of data is limited to trusted partners involved in service delivery, and only when necessary.

 

Users have the right to request access to, correction of, or deletion of their personal data in accordance with Tanzanian data protection laws. For all data-related requests, please contact us at privacy@octospace.io.

12. Intellectual Property

12.1 Ownership of Platform Content, Branding, and Designs

All content, trademarks, logos, branding elements, graphics, layouts, software, designs, and other materials featured on the OCTOSPACE platform are the exclusive property of NEXUS Holdings Ltd, unless otherwise stated. This includes both visual and written content, as well as system architecture and user interface elements.

 

These assets are protected under Tanzanian intellectual property laws and international copyright and trademark regulations. Use of the OCTOSPACE platform does not grant any right, license, or ownership interest in these materials to users or third parties.

 

12.2 Restrictions on Copying, Distribution, and Reuse

Users of the OCTOSPACE platform agree not to:

  • Copy, reproduce, or replicate any content, design, or code from the platform

  • Distribute, sell, license, or publicly display any materials belonging to OCTOSPACE

  • Use OCTOSPACE trademarks, brand names, or likenesses without prior written consent

  • Modify or create derivative works based on OCTOSPACE’s intellectual property

  • Harvest, scrape, or extract content or data from the platform for commercial use

Any unauthorized use, duplication, or distribution of OCTOSPACE content is strictly prohibited and may result in legal action, including claims for damages, account suspension, or prosecution under applicable law.

13. Limitation of Liability

To the fullest extent permitted by applicable law, NEXUS Holdings Ltd, operating under the brand OCTOSPACE, shall not be held liable for any direct, indirect, incidental, special, or consequential damages arising from the use of its platform, services, or physical workspaces.

 

13.1 Business Losses, Data, or Profits

OCTOSPACE shall not be liable for:

- Loss of business opportunities

- Interruption of operations

- Loss of revenue, contracts, or anticipated savings

- Loss or corruption of data, content, or systems

 

Clients are responsible for maintaining their own data backups and business continuity measures.

 

13.2 Property Loss or Theft

While OCTOSPACE implements general security measures at its locations, it shall not be liable for the loss, damage, or theft of personal or company property, unless such loss is directly caused by proven negligence of OCTOSPACE staff or its authorized agents.

 

Clients are encouraged to secure valuables and obtain insurance where appropriate.

 

13.3 External Service Interruptions

OCTOSPACE is not responsible for service disruptions caused by third parties, including but not limited to:

- Power outages or fluctuations

- Internet service interruptions

- Building maintenance or access restrictions

- Construction or municipal disturbances

 

Such interruptions will be addressed promptly where possible, but shall not constitute grounds for refunds or compensation unless explicitly stated in a separate service agreement.

14. Termination and Suspension

OCTOSPACE reserves the right to suspend or terminate access to its platform and services at any time, with or without notice, under the conditions outlined below.

 

14.1 Grounds for Termination

A Client’s access to the OCTOSPACE platform or workspaces may be terminated or suspended for any of the following reasons:

- Failure to pay booking fees, invoices, or related charges on time

- Violation of any part of these Terms and Conditions

- Misuse of property or services, including damage or illegal activity

- Disruptive behavior toward other clients, staff, or property partners

- Providing false or misleading information during registration or booking

- Use of OCTOSPACE for unlawful, unethical, or non-permitted activities

 

14.2 Temporary or Permanent Platform Ban

Depending on the nature and severity of the violation:

- OCTOSPACE may issue a temporary suspension of access while investigating a breach

- In severe or repeated cases, OCTOSPACE may impose a permanent ban, preventing further bookings or access to any services

All bans and suspensions are subject to internal review and may be appealed in writing to OCTOSPACE management.

 

14.3 No Refund on Termination for Violation

Clients who are suspended or terminated for violating these Terms are not entitled to any refunds, reimbursements, or credits for partially used services, pending bookings, or prepaid add-ons.

 

Any outstanding balances or damages owed will remain payable in full, and legal recovery action may be taken where applicable.

15. Changes to Terms

15.1 Right to Amend Terms & Conditions

OCTOSPACE, operated by NEXUS Holdings Ltd, reserves the right to revise, update, or amend these Terms and Conditions at any time, in whole or in part, at its sole discretion. Changes may be made to reflect updates in legal requirements, operational policies, platform features, or service offerings.

 

Clients are encouraged to review the Terms periodically to stay informed of any changes.

 

15.2 Notification of Changes

In the event of significant changes to the Terms:

- OCTOSPACE will provide notice via email to registered users and/or

- Post a notification banner on the platform or website homepage

- Updated Terms will take effect immediately upon publication, unless stated otherwise

 

Continued use of the OCTOSPACE platform or services following such changes constitutes acceptance of the updated Terms.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms and Conditions, along with all services provided by OCTOSPACE under NEXUS Holdings Ltd, shall be governed by and interpreted in accordance with the laws of the United Republic of Tanzania (Mainland jurisdiction).

 

16.2 Amicable Resolution

In the event of any dispute, claim, or disagreement arising out of or relating to the use of the OCTOSPACE platform or services, both parties agree to first attempt to resolve the matter amicably and in good faith through direct negotiation with the OCTOSPACE support or management team.

 

Clients are encouraged to submit their complaints in writing to legal@octospace.co.tz or contact their assigned Personal Assistant for guidance.

 

16.3 Arbitration or Legal Proceedings

If a dispute cannot be resolved amicably within 30 days of formal notification, either party may:

- Refer the dispute to commercial arbitration in accordance with the arbitration laws of Tanzania, or

- Seek recourse through a competent court of law in Tanzania Mainland, subject to applicable procedural laws

 

OCTOSPACE retains the right to choose the appropriate forum depending on the nature and urgency of the matter.
